AGENT ENGAGEMENT AGREEMENT

1. ENGAGEMENT

1.1 Metacloud Technologies hereby engages the Agent as an independent contractor to promote and sell the Metacloud Technologies' Business Software products under the network marketing model.

1.2 The Agent shall have no authority to bind Metacloud Technologies to any obligations without prior written consent, except for negotiating sales terms within the parameters set by Metacloud Technologies.

2. COMPENSATION

2.1 Direct Sales Commissions: The Agent shall receive a recurring commission of 10% on each Business SaaS subscription directly sold.

2.2 Team Sales Commissions: The Agent shall earn the following commission from sales made by their recruited team:

• Level 1 (Direct Recruits): 10% of their commission
• Level 2 (Indirect Recruits): One-month subscription once off on the new recruit’s first sale

Bonuses & Incentives:

• Fast-Start Bonus: 15% commission for signing up businesses within the first 10 days.
• Rank Advancement Bonus: Bonuses based on achieving total sales benchmarks.
• Retention Bonus: 12% of monthly payments for customers retained beyond 12 months.
• Leadership Incentives: Car bonuses, travel rewards, and revenue share based on performance.

2.4 Commission Payouts: Commissions and bonuses shall be paid on a monthly basis via any desired payment method.

3. AGENT RESPONSIBILITIES

3.1 The Agent shall actively promote Metacloud Technologies' products, recruit new agents, and provide support to their network.

3.2 The Agent agrees to adhere to ethical sales practices and comply with Metacloud Technologies' policies.

3.3 The Agent shall not engage in deceptive marketing, false claims, or misrepresentation of earnings potential. Violations may result in termination and legal action.

4. TERM & TERMINATION

4.1 The Agreement shall remain in effect unless terminated by either party with 30 days’ notice.

4.2 Metacloud Technologies may terminate the Agreement immediately for breach of contract, policy violations, or unethical behavior.

4.3 Upon termination, unpaid commissions shall be forfeited if due to a contract breach.

5. CONFIDENTIALITY & NON-COMPETE

5.1 The Agent shall not disclose proprietary information related to Metacloud Technologies' SaaS product, pricing, or marketing strategies.

5.2 The Agent agrees not to promote competing SaaS products within 3 months after termination within Zimbabwe and Zambia.

6. INDEPENDENT CONTRACTOR STATUS

6.1 The Agent is engaged as an independent contractor and is responsible for their own taxes and business expenses.

6.2 Metacloud Technologies is not liable for any legal, tax, or employment obligations related to the Agent's business activities.

7. MISCELLANEOUS

7.1 Governing Law: This Agreement shall be governed by the laws of Zimbabwe and Zambia.

7.2 Amendments: Any changes to this Agreement must be in writing and agreed by both parties.

7.3 Entire Agreement: This Agreement constitutes the full understanding between the parties and supersedes any prior agreements.
